Introduction

The Admission Principles section of the Investbx website sets out the requirements which Companies are expected to meet for Admission and on a continuing basis thereafter; documentation requirements and the procedure for raising capital on Investbx.

Investbx is an online new issues and share trading portal designed for smaller companies in the West Midlands Region of the United Kingdom. Such emerging or smaller companies have a higher investment risk than larger or more established companies. A prospective investor should be aware of the risks involved in investing in such companies and should make a decision to invest only after careful consideration. Investbx securities are not admitted to the Official List of the United Kingdom Listing Authority or any other Recognised Investment Exchange. Instead, they are intended to be admitted to trading on Sharemark, a Multilateral Trading Facility.

Investbx Limited is an Appointed Representative of The Share Centre Limited. Sharemark is operated by The Share Centre. The Share Centre is a member firm of the London Stock Exchange and authorised and regulated by the Financial Services Authority. Neither Investbx Limited, The Share Centre nor Sharemark is a Recognised Investment Exchange, Recognised Clearing House or Regulated Market within the meaning of the Financial Instruments Directive.

Admission is subject to approval by the Admissions Committee. In addition, all companies seeking Admission must appoint professional advisers - a corporate adviser, legal adviser and reporting accountant - registered with Investbx Limited and referred to as Designated Professionals:

Companies interested in applying for Admission to Investbx should contact either Investbx Limited directly or a Designated Professional for a confidential discussion. At this early stage, Investbx Limited will provide a preliminary view on suitability for Admission and thereafter the first step for Companies wishing to be admitted to Investbx traded company will be completion of a Registration of Interest.

Registration does not commit either the Company to apply for, or the Admissions Committee to approve, Admission but allows access to a dedicated extranet area (via www.investbx.com) on payment of a registration fee. The extranet area contains a step-by-step guide to the Admission process in addition to requisite prescribed form template documentation which will need to be completed in order to obtain Admission.
